  1. GENERAL PROVISIONS

    The “Psychologists’ Union of Armenia” Professional Non-Governmental Organization (hereinafter: the Organization) is a non-profit association of citizens of the Republic of Armenia, foreign citizens, and stateless persons.

    The principles of the Organization’s activities are legality, non-discrimination, good faith, voluntary membership, commonality of interests of members, self-governance, and accountability.

    The Organization operates throughout the entire territory of the Republic of Armenia and abroad, in compliance with the legislation of the respective countries.

    The Organization’s official name is:

    • in Russian: «Союз психологов Армении» профессиональная общественная организация

    The Organization has an official emblem, the description and colored image of which are approved by the Organization’s Assembly and attached to this Charter as an appendix.

    OBJECTIVES AND PURPOSES

    The mission of the Organization is to serve as a professional body assessing, coordinating, regulating, and ensuring global representation of psychological practice and education in Armenia.

    Objectives:

    • To unite organizations (NGOs, educational institutions, and others) and individuals engaged in scientific, educational, and applied activities in psychology or related fields throughout Armenia, forming a professional community and an environment of mutual support.

    • To cooperate with the National Academy of Sciences of Armenia, the Ministry of Education, Science, Culture and Sport of Armenia, the Ministry of Health of Armenia, law enforcement and security agencies, the State Revenue Committee under the Government of Armenia, and other state and non-state entities.

    • To create and maintain conditions for effective organization and implementation of psychological activities both in Armenia and on international platforms, including the development of normative regulations for legislative and professional cooperation with state, non-state, and international bodies.

    Tasks:

    1. Organize and implement the functions stemming from this Charter.

    2. Analyze and assess existing problems and needs in various fields of psychology (research, education, applied practice, expertise, diagnostics, counseling, psychotherapy, etc.) as well as the current state and development prospects of professional psychological potential in Armenia.

    3. Promote the establishment of universal standards in the field of psychological activity.

    4. Cooperate with government bodies, NGOs, international NGOs, and stakeholders.

    5. Support the improvement of psychological education systems, development of relevant legislation and technology, and the conceptual framework for training future psychologists.

    6. Provide professional consulting and expert support to organizations and individuals engaged in psychological activities.

    7. Develop and implement standards, norms, and guidelines for various psychological activities, ensuring the effectiveness and safety of psychologists’ work and protecting the rights of beneficiaries, clients, and contractors.

    8. Ensure the highest standards of professional ethics and conduct for psychologists and develop procedures for their observance.

    9. Cooperate with psychological organizations, institutions, associations, and NGOs in Armenia, abroad, and internationally.

    10. Conduct independent public examination of modern educational, pedagogical, methodological, and other programs, projects, and major research activities.

    The Organization collaborates with state and local government bodies, international and foreign organizations, and other entities registered in Armenia to implement its mission and tasks.

    It may establish separate subdivisions — branches and representative offices — and carry out the following activities:

    • Organizing conferences, round tables, and meetings to discuss and adopt key decisions.

    • Creating working groups to develop documents necessary for achieving the Organization’s goals.

    • Holding lectures, seminars, trainings, research, and other events of interest to members.

    • Public relations activities (press conferences, press releases, participation in exhibitions, etc.).

    • Promoting psychological literacy and culture in society, dissemination of contemporary psychological knowledge.

    • Supporting the improvement of psychological competence among non-psychologists working in social professions.

    • Resolving professional and ethical conflicts arising between members, clients, applicants, government bodies, and other stakeholders.

    • Exchanging information and cooperating with foreign and international organizations of trainers and consultants.

    • Conducting informational and analytical activities, publishing collections, books, scientific and informational guidelines.

    The Organization has the right to engage in entrepreneurial activities in line with its statutory goals, manage its property and proceeds, and establish or participate in commercial entities in accordance with the law.


    MEMBERSHIP

    Any individual over the age of 18 who accepts the goals of the Organization and wishes to participate in its activities may become a member.
    Membership applications are submitted in writing to the President, who decides on admission.
    Members may withdraw at any time by decision of the President.
    Membership dues may be established by simple majority decision of the General Assembly.

    Members’ rights:

    • Elect and be elected to the governing bodies.

    • Personally attend the Assembly.

    • Use the Organization’s services free of charge.

    • Access minutes, decisions, and financial documents.

    • Appeal decisions of the governing bodies.

    • Request information and copies of documents.

    • Exercise other rights prescribed by law.

    Members’ duties:

    • Comply with the Charter and governing bodies’ decisions.

    • Faithfully perform assigned duties.

    • Members who violate the Charter or fail to perform duties may be subject to disciplinary measures, including expulsion.


    GOVERNANCE

    The Organization’s governing bodies are the General Assembly and the Executive Body (President).
    The Assembly, as the supreme body, is convened every 5 years, either in person or remotely, and decides on key matters, including:

    • Amendments to the Charter.

    • Participation in other entities.

    • Establishment of separate subdivisions.

    • Approval of structure and strategy.

    • Election and remuneration of the President.

    • Selection of auditors.

    • Approval of annual and 5-year reports.

    • Reorganization or dissolution of the Organization.

    The President is elected for 5 years by the Assembly and manages current activities, represents the Organization, manages property, signs contracts, issues orders, appoints staff, and performs all duties necessary to fulfill the Organization’s goals.


    PROPERTY

    The Organization owns separate property and is liable with it for its obligations. Property may include real estate, vehicles, equipment, funds, securities, and other assets not prohibited by law.
    Sources of property may include:

    • Members’ contributions.

    • Income from entrepreneurial activities.

    • Income from participation in commercial entities.

    • State budget allocations.

    • Donations and grants.

    • Fundraising.

    • Other lawful sources.

    Profits are not distributed among members but are used exclusively for statutory purposes.


    REORGANIZATION AND DISSOLUTION

    The Organization may be dissolved by decision of the Assembly or court order. Upon dissolution, after satisfying creditors’ claims, remaining property is allocated for purposes consistent with the Charter or transferred to the state.
